All contracts, orders and order confirmations relating to products marketed by Connect Srl are governed by these General Terms and Conditions of Sale (hereinafter “GTC”), which are deemed accepted by the Buyer even if not expressly referred to in a specific written agreement. These GTC apply exclusively to relationships between economic operators (B2B). For contracts and order confirmations relating to Export supplies, where not otherwise regulated by these GTC, supplementary notes may be agreed upon by specific written agreement. Should one or more clauses of these GTC be null and void or ineffective, such nullity or ineffectiveness shall not extend to the remaining clauses, which shall remain in full force and effect. In case of discrepancies between the Italian version and any English, French or Spanish language versions, the Italian language text will prevail. Arte Riflessa reserves the right to modify these GTC at any time; the modifications will be effective for contracts concluded after their publication.
1. OFFERS, ORDERS, ORDER CONFIRMATIONS AND CHANGES
The offers of Arte Riflessa are non-binding, unless otherwise expressly stated in writing, and are valid for 30 (thirty) days from the date of issue. Unless otherwise agreed, the minimum amount for each order is € 500.00 + VAT. For orders of a lower amount, a flat surcharge of € 40.00 + VAT may be applied to support transportation costs. The contract is concluded upon receipt of the order confirmation signed by the Buyer. In the absence of written acknowledgement within 48 hours, the order will still be considered confirmed. Any changes requested after the deadline of 48 hours must be received in writing and will be accepted or rejected at the sole discretion of Arte Riflessa. Any acceptance will result in the application of current prices and possible postponement of delivery terms. Arte Riflessa reserves the right to terminate the contract if the economic or financial conditions of the Buyer do not offer adequate guarantees of proper performance.
2. INTELLECTUAL PROPERTY, PRODUCT CHARACTERISTICS AND PRODUCTION CHANGES
All intellectual property rights relating to trademarks, products, models, drawings, catalogs, images, know-how and technical documentation are the exclusive property of Arte Riflessa. Any unauthorized reproduction, dissemination or use is prohibited. Technical data, dimensions, colors and finishes shown in catalogs, price lists or promotional materials are for information purposes only. Slight differences in color, finish or materials do not constitute a defect. Arte Riflessa reserves the right to make technical and production changes to products, as long as the essential characteristics are not altered.
3. TERMS OF DELIVERY
Delivery terms are indicative and run from the date of order confirmation. Any delays due to force majeure or events not attributable to Arte Riflessa do not entitle to order cancellation, penalties or claims. The goods are considered delivered at the time of collection by the carrier. In case of failure to collect by the Buyer in the agreed time, Arte Riflessa may charge storage costs and, in severe cases, terminate the contract.
4. PRICES
All prices are in Euros, excluding VAT, and refer to goods packed according to standard. Assembly, special deliveries, disposals, designs and ancillary services are excluded, unless otherwise agreed in writing. Arte Riflessa reserves the right to change list prices at any time; changes do not apply to orders already confirmed.
5. PAYMENTS AND RETENTION OF TITLE
Payments must be made according to the terms and deadlines specified in the order confirmation. In case of late payment, the interest on arrears provided for by Legislative Decree 231/2002 will be applied, without prejudice to further rights of Arte Riflessa. The ownership of the products will remain with Arte Riflessa until full payment of the price.
6. CANCELLATIONS AND PENALTIES
In the event of order cancellation beyond the 48-hour period from confirmation, the Buyer will be required to pay the following penalties, determined in consideration of the custom and/or made-to-order nature of the products:
25% of the order value within 1/4 of the delivery time;
50% within 1/2 of the delivery time;
75% within 3/4 of the delivery time.
7. RETURNS AND SHIPPING
For deliveries in Italy, the return is free at destination for orders over € 500.00 + VAT. A fixed fee of € 40.00 + VAT will be charged for lower amounts. The return is understood in all cases to be by truck. Goods travel at Buyer’s risk even if sold free port. Any damage or shortages must be reported immediately to the carrier and noted on the transport document (DDT).
8. COMPLAINTS
Claims for visible defects must be reported at the time of delivery on the DDT. Hidden defects must be reported in writing within eight (8) days of discovery. Complaints do not authorize suspension or delay of payments.
9. WARRANTY FOR DEFECTS
Arte Riflessa guarantees the products for 2 (two) years against manufacturing defects. The warranty is limited to the replacement of the defective part and does not cover:
damage resulting from improper or incorrect use;
damage from transportation or assembly;
normal wear and tear;
interventions carried out by unauthorized third parties.
Any liability for indirect damage, loss of profit or downtime is excluded.
10. RETURNS
The return of products is permitted only in the event of non-compliance with Arte Riflessa’s quality standards or manufacturing defects, such as, but not limited to, scratched glass, structural defects, major material imperfections. Any right of return or return due to Buyer’s reconsideration, ordering error, unsold items or business needs is expressly excluded. The return request must be communicated in writing within 8 (eight) calendar days after delivery of the goods, accompanied by adequate descriptive and photographic documentation. The return must be authorized in advance in writing by Arte Riflessa. In the absence of authorization, the merchandise will not be accepted. The merchandise must be returned undamaged, unused and in its original packaging. Each return will be subject to quality verification by Arte Riflessa. In case of recognized non-compliance, Arte Riflessa will proceed, at its own discretion, to replace the product or refund the value of the goods, being excluded any further claim for compensation.
11. APPLICABLE LAW AND PLACE OF JURISDICTION
The contract is governed by Italian law. For any dispute, the Court of Naples will have exclusive jurisdiction.
12. PRIVACY
The parties mutually authorize each other to process personal data exclusively for purposes related to the execution of the contractual relationship, in accordance with current regulations.
